Terms of Service

These Terms of Service govern your use of Miwa, an electronic health record (EHR) and AI clinical assistant for mental-health professionals. By using Miwa, you agree to the responsibilities, limits, and expectations described here.

1. Acceptance of these terms

By creating a Miwa account or using miwa.care in any way, you agree to these Terms of Service. If you do not agree to these terms, do not use Miwa.

2. Who may use Miwa

You must be at least 18 years old and a mental-health professional or trainee (for example, a therapist, counselor, social worker, psychologist, or related role) to use Miwa. Miwa is not directed to children under 13.

You represent that you hold the licenses, credentials, and supervisory arrangements that your jurisdiction and profession require for the work you do in Miwa.

3. Your account

  • You agree to provide accurate, current information when you create your account and to keep it updated.
  • You are responsible for keeping your login credentials secure and for all activity that occurs in your account.
  • You are responsible for all activity that takes place under your account.
  • Each person may maintain only one Miwa account.

Where a group-practice arrangement is offered, the practice owner is responsible for its members' and staff accounts' use of Miwa, for assigning roles accurately, and for seat billing. Staff (non-clinician) accounts receive administrative access only — they may not access clinical records or clinical AI features, and the practice owner is responsible for ensuring staff use stays within that scope. Group-practice access may be governed by an additional agreement; if that agreement conflicts with these Terms, it controls for the practice.

4. Your content and the clinical record

You own the clinical content you enter into Miwa. Miwa is a tool, not the licensed provider of care. The therapist or their practice is the Covered Entity and remains responsible for the medical record, clinical decisions, supervision, consent, and documentation obligations.

You must have appropriate consent and authorization to enter client information into Miwa. For covered clinical workflows, Miwa acts as a Business Associate under the applicable Business Associate Agreement.

5. AI-assisted features (review-before-apply)

Miwa's AI-assisted output is draft material for professional review. The clinician is responsible for the final chart entry and must review AI output before applying it. AI does not replace clinical judgment, supervision, or documentation duties.

You must obtain any client consent required for recording, transcription, or AI-assisted features under applicable law and your profession's ethics code before using those features.

6. Acceptable use

You agree not to:

  • Use Miwa to abuse, harass, defraud, or harm anyone, or for any illegal activity.
  • Reverse engineer, decompile, scrape, or attempt to extract the source or internals of the service.
  • Interfere with the service, its security, or its infrastructure.
  • Enter content you do not have the rights to, or violate the privacy or rights of others.
  • Attempt to access other users' data, accounts, or information.

7. Billing and subscriptions

Current pricing is published at miwa.care/pricing (Trainee $39/mo, Associate $79/mo, Licensed Therapist $199/mo). Subscriptions are billed by Miwa. Subscriptions are not sold through Apple in-app purchase or any mobile app store.

  • Free trials may convert to a paid subscription unless canceled before the trial ends.
  • You can manage or cancel your subscription from Settings → Subscription in the app, or by contacting support.
  • Fees are non-refundable except where a refund is required by law.
  • We may change pricing with reasonable advance notice.

8. Client portal and consents

Clients access the Miwa client portal at the direction of their clinician. Electronic signature and consent features are provided as a mechanism and do not replace the clinician's professional judgment about whether consent is adequate or appropriate in a given situation.

9. Telehealth, phone, and recording

Built-in telehealth is a tool, not a healthcare provider. Recording or transcription features require appropriate consent under applicable law (including one-party or two-party consent rules and HIPAA). Clinicians are responsible for determining whether and how these features are appropriate for their jurisdiction and clients. For telehealth, you are responsible for confirming you are licensed (or otherwise permitted) to treat each client in the jurisdiction where the client is located.

Front Desk phone (optional)

If you enable a Miwa phone line, an AI assistant answers overflow or after-hours calls for your practice: it discloses to every caller that it is an AI assistant, collects intake information for your review, follows a crisis protocol that refers callers to 911 or 988, and does not record call audio by default. It is an intake and scheduling assistant only — it provides no clinical advice and is not an emergency service. You are responsible for reviewing the inquiries it captures, for how you configure the line (including any transfer number), and for any recording consent if you ever enable recording where the law requires it.

The availability of telehealth or phone features does not constitute legal advice.

10. Intellectual property

Miwa and its software, design, marketing, and brand are owned by Miwa Health Technologies LLC. Content you enter into Miwa remains yours, subject to the limited license you grant below.

You grant Miwa a limited license to host, process, transmit, and display your content solely as needed to provide the service to you.

11. Third-party services and links

Miwa integrates with third-party services, including a payment processor (Stripe), AI providers, hosting, email, and telephony. Their terms and privacy policies apply to your use of those services, and Miwa is not responsible for their independent practices.

Miwa may link to outside resources (such as 988, SAMHSA, NAMI, 211, and insurance portals) for convenience. Miwa does not endorse or control those resources.

12. Disclaimers

Miwa is provided "as is" and "as available." Miwa does not warrant that the service will be error-free, uninterrupted, or meet your specific needs. Miwa does not provide medical, legal, or supervisory advice. AI output is informational and does not replace professional judgment.

13. Limitation of liability

To the maximum extent permitted by law, Miwa's total liability for any claim arising out of or related to these terms or the service is limited to the amount you paid Miwa in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Miwa is not liable for indirect, incidental, consequential, special, or punitive damages. Nothing in these terms limits liability that cannot be limited under applicable law, such as certain HIPAA obligations.

14. Indemnification

You agree to indemnify and hold Miwa harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the service, your violation of these terms, your violation of law, or your content entered into the service, to the extent permitted by law.

15. Termination

You can delete your account at any time from within the app. We may suspend or terminate accounts for violation of these terms, abuse, legal requirements, or to protect the service.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

16. Changes to these terms

We may update these terms from time to time. If a change is material, we will provide notice by email or inside the product before the change takes effect. Your continued use of Miwa after the effective date constitutes acceptance of the updated terms.

17. Governing law and dispute resolution

These terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for any dispute, except as prohibited by law.

This does not prevent either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
